ABOUT AGREEMENT
Purpose: establish a formal process for performing joint research with the following benefits-
- Improve research, with benefits to both SABIC and KSU, the citizens of KSA, and society at large
- Achieve balance between the educational mission of KSU and the business mission of SABIC
- Foster better cooperation by having a formal process
- Avoid misunderstandings or loss of IP rights
Parties:
- SABIC (Saudi Basic Industries Corporation) and Affiliates*
- KSU (King Saud University) and Affiliates*
Type of Collaboration
- Not limited- depends of the needs of the Parties, as defined by the Steering Committee and the Project Managers in the project description (Statement of Work);
- Can include
- Consultation on design, construction, and operation of research centers and lab facilities;
- R&D projects;
- Scientific and technical exchange meetings;
- Exchange/training of personnel / Use of each Party’s facilities and instruments;
- Exchange of best practices for research and technology; and the like
ORGANIZATION UNDER THE AGREEMENT
- Steering Committee
- Bi-annually at a mutually agreed-upon location
- Responsible for developing policies, budgets, strategic plans, prioritizing and reviewing program plans, and making decisions with regard to publicity of joint activities
- 6 members (3 from each Party) with the ability to increase to 10 members (5 from each Party)
- Project Coordinator
- KSU assigned person
- Responsible for establishing the project team on the KSU side and carrying out and managing the program on behalf of KSU
- Project Coordinator may delegate tasks to teams
- Program Coordinator is responsible for providing the identity of the KSU team to the Steering Committee within 30 days of a Program Plan starting
- Program Plan/SOW
Describe (1) Work to be undertaken; (2) start and end dates for a Program, (3) reporting schedule, (4) deliverables, (5) SABIC program coordinator ,(6) budget, and (7) any non-standard terms (ex., changes to IP ownership)
- Publication
KSU must submit any manuscript, abstract, presentation or other disclosure to SABIC for review (for removal of confidential information and evaluation for IP protection) at least 90 days prior to submission for publication
